  • Assist with review of basic commercial contract documents such as work orders, statements of work (SOW’s), product schedules, pricing schedules, etc. (ideally for IT professional services contracts, software license agreements, computer hardware sale agreements)
  • Provide administrative/secretarial support for in-house attorneys
  • Maintain, update, and organize legal review requests.
  • Collect, maintain, and organize executed documents/contracts.
  • Format MS Word contract documents.
  • Edit, accept, and track changes in MS Word documents.
  • Administration of electronic contracts management system.
  • In-house legal department administrative, e.g. processing of invoices for payment for outside counsel and other legal supplier/vendors.
  • Additional tasks as requested by in-house attorneys or CFO.

Minimum Qualifications:

  • Paralegal Certification or minimum 5 years of paralegal experience
  • Associate or Bachelor Degree required
  • At least 3 years of experience working with contracts in a corporate/in-house legal environment or law firm
  • Excellent Microsoft Word skills, especially for contract documents (e.g. making/accepting track changes, contract section numbering, sections/sub-section creating)
  • Strong organizational skills and attention to detail.
  • Strong communication and interpersonal skills.
  • Work well under pressure.
  • Ability to multi-task while producing high-quality work.
  • Ability to take instruction and work well in a team environment.
  • Ability to exercise the highest level of confidentiality, professionalism, and discretion.
  • Self-motivated with the ability to seek guidance when necessary.

Preferred Qualifications:

  • MS Excel and MS PowerPoint experience
  • IT/High Tech/Software industry experience
  • Willingness to be trained to review commercial portions of contracts (under attorney supervision).
  • Proofreading Ability
